Do I have to execute a will for the village corporation if I already have one for Calista?
Calista and your village corporation are two different entities. You need to complete a will for each entity.
What regulations control the inheritance of ANCSA Corporation stock?
ANCSA and the Alaska Statutes set out the procedures for determining inheritance of your corporation stock. A will is a legal document which states a person’s wishes concerning the disposal of property such as ANCSA stock. If a will is valid, then the shares are transferred to the inheritors in the amounts specified in the will. If a will was not written or cannot be found, after a period of time it is assumed that the deceased shareholder did not leave one. When a person dies without a will the Alaska Statutes provide guidance on who will inherit from the deceased.
If I want to give some of my inherited shares to my descendant(s), can I do that?
Yes. In 1987 Congress amended the Alaska Native Claims Settlement Act to allow shareholders to be able to gift stock to eligible descendents. Calista has a gifting policy in place. Eligible recipients are brothers, sisters, children, grandchildren, great-grandchildren, nieces and nephews.
Why is it important to keep my address updated?
The shareholder addresses are used for mailing the Calista “Storyknife” newsletter, for annual meeting election mailings, for mailing of notices relating to various corporation information, and for invitation lists for events concerning shareholders. In addition, as the corporation continues to progress financially, the addresses will be used to mail dividends to shareholders.

If I am a descendant of a Calista shareholder what corporation benefits can I receive?
A shareholder descendant is eligible for hiring preference, to apply for the Calista Scholarship Fund, and for training/internship opportunities.
I hear people say stockholder and shareholder when referring to membership in Calista. What’s the difference?
There is no difference.
I own 100 shares in Calista. Why is it that some years I have 400 votes and other years I only have 300 votes?
Certain corporations, including Calista, use a process called cumulative voting. With this method your votes are determined by taking the number of shares you own and multiplying it by the number of Board of Director seats being contested by election. Calista has 11 board members and there are 4 directors elected one year, another 4 the next year and 3 directors on the last year. On the years where there are 4 seats up for election you will have 400 votes (100 shares multiplied by 4 seats). On the year where there are 3 seats up for election you will have 300 votes.

Will I ever get a dividend from Calista Corporation?
Akilista Fund
Purpose: The Calista Corporation Board of Directors established the Akilista Fund in 1994 for the purpose of making distributions as dividends for our shareholders. At its inception, the Board of Directors mandated management to set aside ten percent (10%) of all the future revenues to this fund.
Other sources that contribute to the fund are ten percent of revenues from ANCSA Section 7 (i) (directing revenues received from subsurface resources and timber development on ANCSA lands are to be shared among Alaska regional corporations). And the SWALA (Southwest Alaska Land Acquisition) land exchange package contributed fifty percent (50%) of federal government resources into the Akilista Fund.
Establishment: The Akilista Fund was established in 1994 with less than $500,000. As of today, the Akilista Fund has grown to over $20 million dollars and with this significant growth the possibility of making an actual distribution is close to reality.
Spending Policy: As the Akilista Fund investment was growing, one thing became apparent to the board and management of Calista Corporation: at what point would the board have to make a decision to make a distribution to our shareholders? The Board of Directors of Calista Corporation adopted a spending policy regarding the Akilista Fund. In designing the spending policy the Calista board deliberated and decided it would be structured like the well-known Alaska Permanent Fund that issues annual dividends from its principal.
On April 13, 2005, the Calista board adopted the following language:
The Akilista Fund places the highest emphasis on generating a dividend or distribution income stream for shareholders or other shareholder services in perpetuity. As such, the investment committee regards spending in dollar terms from year to year as flexible based on the following constraints:
· No spending will be considered until the fund reaches a market value of at least $20 million annualized over a 3 year average.
· Spending annually will be constrained to a range of 0%-4% of the 3 year average of the market value of the fund.
The Calista board of directors may consider additional amounts of excess operating cash to increase any Akilista Fund money used for shareholder dividends or distributions.
Current Events: Common sense dictates that the board and management of Calista Corporation have to be prepared for such a distribution, and they have begun the due diligence required of any financial transaction. The board has directed management to research adequate computer software that will have the capacity to handle a large data base; which is necessary because the company’s original enrollment presents 13, 309 shareholders in the Calista region. We are prepared to upgrade and invest in technology that will allow us to manage data regarding all shareholders in and outside of Alaska.* We have also started the process to adopt a budget to cover the cost of carrying out a distribution to all our shareholders. This process will allow us to assess and fine-tune the anticipated costs in the future.
Anticipated Distribution: We are entering our third year average and some shareholders have been asking when the first distribution will be made. That time is approaching and our shareholders can be assured that we will certainly provide notice when the board of directors makes the decision to make a distribution.** The Calista Corporation board and management are elated that our shareholders have been very patient, and once we begin this process we intend on doing distributions annually.

Can Calista assist shareholders with legal problems?
No. Calista’s Legal Department advises the Company, the board of directors and its management on legal matters related to operations and governance. The Alaska Bar and Disciplinary Rules governing attorneys' conduct prevents Calista's legal personnel from providing legal advice to shareholders and others who are not directors or management personnel. How often do jobs become available within Calista Corporation or its subsidiaries?
As we continue to grow as a corporation, there will be many job opportunities throughout Calista Corporation and its subsidiaries.
Calista Corporation companies must bid new projects successfully before we start offering jobs to anyone. Many projects we bid have shareholder preference. Some state contracts by law, state that we cannot have shareholder preferences.
We continue to bid projects that will bring jobs to our shareholders. It is the intent of management to continue to bid new projects that will enhance shareholder hire in our projects. We have a ten year track record of successful bidding on projects that brought jobs to the people we serve.

Why haven’t I heard anything back regarding my resume and/or application?
We receive a large amount of resumes into the HR Department each week for Calista Corporation and our subsidiaries job openings, as well as unsolicited resumes. Due to the large volume, it is not always possible to respond to everyone.

After I submit an application what happens next?
HR then forwards all applications for Donlin Creek to the Human Resources representative located at Donlin Creek. Calista’s HR department’s role in receiving all applications first is to record all applications and enter Shareholders and descendants into our Talent Bank to ensure that when other job openings or training become available we can notify eligible shareholders and descendants of these opportunities.
After this is complete, the HR representative at Donlin Creek will review your application, which involves matching educations, skills and qualifications to any specific job opening. If a match is made, and an opening is available, the applicant will receive a telephone screening with the possibly of a job offer.

Do I need to apply again, if I applied last year?
Yes, we keep applications on file for one calendar year. If you have moved, your employment status has changed, received training/certificates/education between the last time you applied to the current time then please re-apply. Keeping your application accurate makes the selection process better for you and allows us to contact you as necessary.

- Camp Administrative Assistant- Assists executive in staff capacity by coordinating office services, such as personnel, schedule preparation and control, records control and special assignments.
- Camp Maintenance- This position is engaged in keeping building and grounds in clean and orderly condition and in maintaining and repairing utility systems and building structures.
- Camp Warehouse/Purchasing- Set up and maintain a parts warehouse for an advanced exploration project. Purchase raw material and unprocessed goods for processing; purchase machinery, equipment, tools, parts, and other supplies and services required.
- Core Cutter/Handler- Prepare core to be shipped, by cutting and bagging.
- Data Entry – Operated an alpha-numeric key entry machine and verifier in the accurate transcription of a variety of accounting, statistical and engineering data from a wide variety of source documents.

Do I need to fill out a new application if I already have one on file?
You do not need to fill out a new application if nothing has changed. If you have moved, have a current job, received training/certificates/education between the last time you applied to current time, you should fill out a new application, this makes contacting you easier for us or should we need to contact you about various job opportunities or trainings.
What applications do I need to fill out?
If you are a shareholder of the Calista Corporation or are of lineal descendent, we strongly encourage you fill out a Talent Bank application. If you are applying for a specific position with Calista Corporation or one of our subsidiary companies, you will need to fill out a Calista Corporation application as well.

How often do we search for positions for Talent Bank applicants?
The HR department receives job vacancies from Calista, our Subsidiaries and outside sources and companies; we do check the Talent Bank first to see if there are any qualified shareholders or descendents. We can also search if you contact us or if you ask us to check periodically for you, we can. We also keep a listing of open positions on the Talent Bank table in the lobby of Calista Corporation.
Why haven’t I been hired if I have a Talent Bank application in the system?
The Talent Bank program is a program in place to help shareholders and lineal descendants locate available work. After you are notified from the HR department of an opening that you might fit, it is up to you to follow up with the employer if it is not Calista Corporation or any of our subsidiaries.
Lands & Natural Resources Department Questions & Answers
Who do I contact regarding land that I own or inherited?
Calista does not handle Native allotments, which are conveyed directly from the federal government to allotees. Here are some possible resources:

The following communities provide their own realty service: Kwethluk, Bethel, Kipnuk, Akiak, Toksook Bay, Nightmute, Mountain Village, Akiachak, Quinhagak, Marshall and Chevak. Contact the tribal office in these communities for a realty officer.
What if my land is in a Native townsite?

Does Calista buy Native allotments?
No, Calista does not purchase Native allotments. For information about selling a Native allotment, contact your realty service provider.
