The 2026 Calista “Clicks for Cash” Drawing (the “Drawing”) is sponsored solely by Calista Corporation (“Calista”), 5015 Business Park Boulevard, Suite 3000, Anchorage, Alaska 99503. To provide fair and equal chance of winning to all Calista Shareholders, the following are the official rules (“Official Rules”) for the Contest.
1. Drawing Period
The Drawing begins on July 1, 2026, and ends at 11:59 p.m. Alaska Daylight Time on July 31, 2026 (“Drawing Period”). Calista’s records and systems will serve as the official timekeeping method for the Drawing.
2. Eligibility
The Drawing is open to current Calista Shareholders who are at least 18 years old as of July 31, 2026; reside within the United States; and remain eligible Calista Shareholders through the date prizes are awarded. The Drawing is void outside the United States and wherever prohibited by law. The Drawing is subject to all applicable federal, state, and local laws.
3. How to Enter
Each eligible Shareholder may receive up to four entries through the methods described below. A Shareholder may receive only one entry for each method, regardless of whether the Shareholder completes the same activity more than once. Eligible Shareholders who completed these methods prior to the Drawing Period will be automatically entered.
a. Method 1: Register for a MyCalista.com account.
i. Visit https://MyCalista.com and follow the directions to complete registration to create a MyCalista account.
b. Method 2: Register for direct deposit. Direct deposit sign up can be achieved in one of two ways:
i. Visit https://MyCalista.com, sign in, click “Manage My Direct Deposit” on the right side, and follow the directions.
ii. Mail or fax paper form: Visit https://www.calistacorp.com/shareholders/shareholder-forms-center, download and complete the Direct Deposit form, and mail or fax it back to Calista Corporation. The proper mail and secure fax number is on the form. The form must be physically received by Calista on or by July 31, 2026, at 11:59pm. Postmark date does not qualify.
c. Method 3: Opt in for Electronic Storyknife:
i. Visit https://MyCalista.com, sign in, click on “View or Change My Mailing Preferences” on the right side, navigate to the Mailing Type for ‘Newsletter’ in the drop-down menu, select “ELECTRONIC” and click “SAVE”.
d. Method 4: Opt in for electronic delivery of Annual Meeting materials:
i. Visit https://www.calistacorp.com/electronic-delivery. Complete the website form and click “Send.”
ii. Shareholders who previously opted in but have withdrawn do not qualify.
Regardless of the entry methods used, no Shareholder may receive more than four total entries. Calista may verify all entries against its Shareholder and administrative records. Entries containing incomplete, inaccurate, fraudulent, or misleading information may be rejected.
4. Prizes
Six winners will each receive one $500 cash prize. The total value of all prizes is $3,000.
A Shareholder may win only one prize through this Drawing. Prizes may not be transferred or assigned. All federal, state, and local taxes associated with a prize are the sole responsibility of the winner.
5. Winner Selection and Odds
On or before August 15, 2026, Calista will randomly select six potential winners from all eligible entries received during the Drawing Period. The odds of winning depend on the total number of eligible entries received. Calista’s Management decisions concerning eligibility, entry validity, administration, winner selection, and prize awards are final and binding and are not subject to review or appeal.
6. Winner Notification and Verification
Calista will notify each potential winner by telephone or email using the contact information in Calista’s records or provided with the entry. Before receiving a prize, each potential winner must, within the period specified by Calista:
• Confirm eligibility and identity;
• Provide valid government-issued photo identification if requested;
• Complete and submit an IRS Form W-9;
• Review and sign an acknowledgment accepting these Official Rules; and
• Sign any reasonable eligibility, liability, or publicity release requested by Calista.
Calista requires a completed Form W-9 from every cash-prize winner as a standard administrative and tax-compliance practice. This requirement does not necessarily mean that Calista will issue the winner a Form 1099-MISC. Any required tax reporting will be determined under applicable law based on the winner’s aggregate reportable payments.
If a potential winner cannot be contacted, declines the prize, fails to respond within the specified period, fails to provide the required documents, or is determined to be ineligible, the potential winner will forfeit the prize. Calista may select an alternate potential winner by random drawing.
7. Prize Payment
Prizes will be paid by check and mailed to the winners no later than September 25, 2026, or within three weeks after Calista receives all required documentation from the winner, whichever is later. Calista is not responsible for delays resulting from inaccurate or incomplete contact information provided by a winner. If a prize check is lost or not received, the winner must promptly notify Calista so that Calista may review the circumstances and determine whether to issue a replacement check.
8. Publicity Consent
Except where prohibited by law, acceptance of a prize constitutes permission for Calista and its designees to use the winner’s name, city and state of residence, likeness, photograph, voice, biographical information, and statements regarding the Drawing for advertising, publicity, promotional, and internal communications purposes in any media without additional compensation. Calista may require a winner to sign a separate publicity release confirming this consent before awarding the prize.
9. Release of Liability
To the fullest extent permitted by law, each winner, by accepting a prize, agrees to release and hold harmless Calista and its subsidiaries, affiliates, officers, directors, employees, agents, representatives, successors, and assigns from claims, losses, damages, or liabilities arising directly or indirectly from participation in the Drawing; acceptance, possession, or use of a prize; or Calista’s authorized use of the winner’s information under Section 8 (“Release”). This Release does not apply to claims that cannot legally be waived.
10. Drawing Administration
Calista may disqualify any person who: provides false, fraudulent, incomplete, or misleading information; attempts to obtain more than four entries; tampers with the entry or winner-selection process; interferes with Calista’s websites or systems; or otherwise violates these Official Rules.
Calista reserves the right to modify, suspend, cancel, or terminate the Drawing if fraud, unauthorized intervention, technical failure, legal requirements, or circumstances beyond Calista’s reasonable control compromise the administration, security, fairness, or integrity of the Drawing. If the Drawing is modified or terminated, Calista may award the prizes from among the eligible entries received before the modification or termination, if lawful and reasonably practicable. Calista’s failure to enforce any provision of these Official Rules does not waive that provision.
11. Technical and Administrative Issues
Calista is not responsible for entries or communications that are lost, late, incomplete, illegible, misdirected, corrupted, or not received because of inaccurate information, internet or system outages, transmission errors, equipment failures, or other circumstances beyond Calista’s reasonable control. If there is a dispute regarding an entry, Calista may determine the entrant’s identity and eligibility using its Shareholder records and other reasonably available information.
12. Disputes and Governing Law
These Official Rules and any dispute relating to the Drawing are governed by Alaska law, without regard to conflict-of-law principles. Before initiating a formal proceeding, the parties will attempt in good faith to resolve the dispute informally. To the fullest extent permitted by law, any unresolved dispute will be resolved individually through binding arbitration administered by the American Arbitration Association under its applicable rules. Class, collective, and representative proceedings are not permitted.
If a dispute proceeds in court rather than arbitration, exclusive venue will be in Anchorage, Alaska, and each party waives the right to a jury trial to the fullest extent permitted by law. Any recovery will be limited to actual out-of-pocket costs. No participant may recover punitive, incidental, consequential, or multiplied damages, or attorneys’ fees, except where such a limitation is prohibited by law.
13. Severability
If any provision of these Official Rules is determined to be invalid or unenforceable, the remaining provisions will remain in effect. The invalid or unenforceable provision will be interpreted or limited to the minimum extent necessary to make it enforceable, if permitted by law.
14. Privacy
Calista will use personal information collected in connection with the Drawing to administer the Drawing, verify eligibility, communicate with potential winners, issue prizes, satisfy legal and tax obligations, and exercise the rights described in these Official Rules. Personal information will otherwise be handled in accordance with Calista’s Privacy Policy, which can be found at https://www.calistacorp.com/privacy-policy.
15. Acceptance of Rules
A Shareholder who affirmatively submits an entry agrees to comply with these Official Rules. A Shareholder who is automatically entered will not be required to take any action merely because of the automatic entry. However, if selected as a potential winner, the Shareholder must review and accept these Official Rules and provide the documents required under Section 6 before receiving a prize.
