Annual Meeting of Shareholders

All proxy votes and ballots are received, verified, and counted by the independent Inspector of Elections (not Calista staff).

All proxy prize winners are randomly drawn by the Inspector of Elections.

The current Inspector of Elections is Sramek-Hightower, a certified public accounting firm with offices in Anchorage.

Only Natives or Descendants of Natives, as defined by the Alaska Native Claims Settlement Act, may vote. However, a person who is not a Native or Descendant of a Native and who is a custodian for a holder of Class A or B shares who is a Native or Descendant of a Native may vote such shares.

Class A or B shares held by a custodian for a minor may be voted by the custodian designated in Calista’s books and records until the minor attains the age of 18 years (Section 6(b) and (c), Article I of Calista’s Bylaws). Class C shares held by a minor do not include voting rights until the Shareholder attains the age of 18 years (Article V of Calista’s Amended and Restated Articles of Incorporation).

Receive Annual Meeting materials by mail? Your PIN is located on the back of your Proxy Form. You can also look up your PIN on the same day materials go in the mail.

Receive Annual Meeting materials electronically? You will receive your PIN by email on the mail date, and you will also receive a first-class postage mailer with your PIN.

More than 50 percent of Calista shares must be voted to establish quorum and conduct business at the Annual Meeting.

If too few Shareholders vote, the Annual Meeting must be rescheduled, costing Calista and its Shareholders significant time, effort, and money. Also, proxy prizes may not be awarded.

Yes, Alaska law permits ANCSA corporation boards to endorse candidates, subject to applicable law and governing documents.

Yes, but anyone who engages in Annual Meeting proxy solicitation online and/or to at least 30 resident Shareholders is responsible for complying with State of Alaska proxy regulations (3 AAC 08.307). This includes posting to social media pages.

Proxy regulations (under 3 AAC 08.307) require a person who posts or solicits proxy votes must file a copy of their material with the Alaska Administrator of Securities. Individuals may file their posts by e-mailing them in searchable PDF format to ancsa@alaska.gov.

Certain corporations, including Calista, use a process called cumulative voting. With this method your votes are determined by taking the number of shares you own and multiplying it by the number of Board of Director seats being contested by election.

Calista has 11 board members and there are 4 directors elected one year, another 4 the next year and 3 directors on the last year. On the years where there are 4 seats up for election you will have 400 votes (100 shares multiplied by 4 seats). On the year where there are 3 seats up for election you will have 300 votes.

The Calista Board believes that it would be good to let the Shareholders know which candidates the Board has determined would best serve Calista and the Shareholders.
